Browne Jacobson advises founder of Never Fully Dressed on the investment from Refined Capital Partners
UK and Ireland law firm Browne Jacobson has advised Lucy Aylen, founder of women's feel-good fashion brand, Never Fully Dressed, on the brand's investment from Refined Capital Partners.
Founded by Lucy Aylen in 2009, Never Fully Dressed has grown from a market stall into a globally recognised womenswear brand. Renowned for its distinctive prints and inclusive approach to fashion, the business has built a loyal international following through its authentic brand identity, strong social media presence and engaged customer community, while expanding its reach through e-commerce, wholesale partnerships and retail.
The investment adds Never Fully Dressed to Refined Capital Partners’ growing portfolio of consumer brands, which includes brands such as The Fold and Disturbia.
RCP partners with ambitious, founder-led businesses, providing investment capital and strategic support to help accelerate growth and create long-term value. The partnership with Never Fully Dressed will support the brand’s continued expansion, enabling the business to build on its strong foundations and pursue further opportunities in key markets.
The Browne Jacobson deal team was led by Partner Sandra Wong, supported by Corporate Senior Associate Shania Sood and Associates Alys Bratch and Dina Hansotia, and on tax, Partner Craig Thomas and Senior Associate Jade Williamson.
Backing British fashion brands
Sandra Wong commented: "British fashion brands continue to punch above their weight, and the right private equity backing can be transformative. The UK fashion sector continues to attract serious, specialist investment, and Never Fully Dressed is exactly the kind of homegrown brand with strong creative foundations and real international potential that appeals to investors.
“Browne Jacobson has significant experience advising founders and private equity clients on investments across the sector, and we are proud to have supported Lucy and the team on this landmark transaction for the brand."
The transaction is the latest in a series of deals advising private equity and well-known brands. Recent deals include advising Modella Capital on its acquisition of WHSmith's high street division and its subsequent acquisition of Claire's, and advising LDC on its exit from global workwear business Mi Hub. The firm also advised global intimates and apparel brand SKIMS on securing a flagship store in London.
