Browne Jacobson advises Clearwater UK on acquisition by US institutional bank KeyCorp
UK and Ireland law firm Browne Jacobson has acted for Clearwater Corporate Finance (Clearwater UK) on its acquisition by KeyCorp, a leading regional US bank, marking KeyCorp's entry into the Western European market.
Clearwater UK focuses on providing corporate finance advisory services for mid-market transactions. The company has offices in Birmingham, London, Leeds and Manchester.
The combined platform will offer US-based private equity sponsors and corporate clients access to European acquisition targets and exit strategies, while providing European institutional clients with access to the US M&A market.
The deal reflects Browne Jacobson's strength in advising on international transactions; the firm recently ranked in the top ten for deal count in the latest Mergermarket rankings in the UK. The full-service team combined its expertise in professional services M&A with its experience in navigating complex international deals and regulatory processes.
The Browne Jacobson team advising on the transaction included Corporate Partners Gavin Cummings and Matt Dorman, Tax Partners Andrew Noble and Craig Thomas, Corporate Associates Alys Bratch (Associate) and Rob Northall (Senior Associate), and Employment Legal Director Maz Danourah.
Gavin said: "The partners at Clearwater UK founded and developed an exceptional corporate finance firm, and I am proud of both our long association with the firm and being trusted to deliver this strategic transaction for them.
“Our team works regularly with mid-market professional services businesses and understands the regulatory landscape, the sensitivities involved and what it takes to get complex, international transactions over the line."
Recent international deals include advising on a French PE-backed acquisition of a leading UK apprenticeship provider, Eureka Education, and advising Rcapital on the sale of Surface Technology to a Sweden-headquartered firm.
