Browne Jacobson advises Broadfield Capital on maiden investment in HVAC services business

14 October 2025

UK and Ireland law firm Browne Jacobson has advised Broadfield Capital on its maiden investment into Emtec Climate Solutions Ltd, a leading provider of HVAC (Heating, Ventilation & Air Conditioning) service and maintenance based in Warrington.

Broadfield Capital's investment will support Emtec to drive growth and broaden its service to existing customers and expand across the UK.

Founded in 2015, Emtec has developed a strong reputation for pairing strong technical capability with high levels of customer service. The business specialises in delivering service and maintenance of air conditioning, chillers, refrigeration and ventilation in critical infrastructure such as schools, hospitals, data centres and public buildings.

Broadfield Capital was founded in 2025 by Managing Partner, Guy Ellis, following his successful tenure at Rockpool Investments, where he established a strong track record by deploying over £50 million into the UK lower mid-market. Broadfield's first investment was backed by a fundraise that was over four times oversubscribed, attracting commitments from institutions, family offices, and high net worth investors across the US and Europe.

Browne Jacobson's corporate team was led by Partner Ryan Brown and Associate Dan Knowles with Partner James Skivington supporting with the equity aspects. Principal Associate Craig Thomas provided tax advice and Legal Director Maz Dannourah supported with the employment aspects.

Ryan Brown, Partner at Browne Jacobson, commented: “Our experience of advising on mid-market/lower mid-market private equity transactions enabled us to provide strategic, commercial advice that went beyond the legal drafting, supporting Broadfield with various workstreams ensuring they obtained the right advice, from the right party, at the right time.  We look forward to supporting Broadfield as it embarks on its journey with Emtec."

Guy Ellis, Managing Partner at Broadfield Capital, said: "Completing our first investment was a significant milestone for Broadfield, and Browne Jacobson played a key role in making it happen. The team provided clear, commercial and strategic advice on everything we asked of them and ensured that all matters were proactively managed. Their expertise in the mid-market and lower mid-market was evident throughout. We're delighted to have them as trusted advisers as we embark on our growth journey."
