Browne Jacobson advises Rcapital on sale of aerospace and defence firm Nasmyth Group
Browne Jacobson has advised Rcapital on its sale of a specialist aerospace and defence engineering business that supplies global titans including Rolls-Royce and Boeing.
The UK and Ireland law firm supported the investor on its exit of Nasmyth Group Limited, which has been acquired by Sigma Advanced Systems UK Limited, a subsidiary of Indian group Megasoft Limited.
Rcapital has established itself as a trusted partner in the UK's defence supply chain, providing critical precision engineering capabilities for defence applications alongside its aerospace work. This strategic positioning makes Nasmyth Group a valuable asset in the growing defence manufacturing sector.
The Browne Jacobson team was led by Partner Tom Saunderson and corporate finance Partner Gavin Cummings, banking and finance Partner Paul Hill, banking and corporate finance Partner James Busby, Senior Associates Patrick Berry and Robert Northall, and Associates Tyler Isaac and Ffion Stuckey.

Headquartered in the West Midlands, Nasmyth Group is a major supplier to a number of OEMs and employs about 500 people.
Rcapital initially invested in Nasmyth Group in 2022 when the company was facing severe cashflow pressures due to losses associated with Covid-19 restrictions. It has invested significant funds to rescue and stabilise the business, which is now profitable.
This sale marks Rcapital's second exit in the aerospace and defence sector in the past 12 months, following the sale of Trac Precision Solutions Ltd in November 2024. Rcapital remains committed to the aerospace and defence sectors.
