Browne Jacobson advises on dual sale to Triton-backed Tendra Technical Services platform
Browne Jacobson’s corporate team in Manchester has advised the shareholders of two separate businesses, the James Mercer Group and Fletchers Engineering, on their respective sales to Tendra Technical Services.
The launch of Tendra Technical Services, a platform backed by the Private Equity firm Triton’s Smaller Mid-Cap Fund II, represents an important step in bringing together specialist technical services companies across the UK's built environment sector. The platform initially comprises three businesses: The James Mercer Group (Lancashire/Liverpool), Fletchers Engineering (Manchester), and Coat Facilities Group (Birmingham).
This represents the 11th platform investment made by the Triton Smaller Mid-Cap Fund II and is Triton's first Triton Smaller Mid-Cap investment in the UK.
The Browne Jacobson teams who advised on the sale of Fletchers Engineering and The James Mercer Group were led by Corporate Partners Ryan Brown and Peter Allen respectively with support on both deals being provided by Associate Alex O’Donoughue along with support from Associate Benedetta Cocconi and trainee solicitor Anne Gascoigne.
Peter Allen, head of the Browne Jacobson Manchester office, said: “We’re proud to be involved in local transactions. To be trusted to advise on critical moments for these two successful businesses is a demonstration of our continuing growth in the Northwest market and our strength in depth.”
Ryan Brown said: “To have sold two businesses to the same group, along with advising on another three similar transactions over the past few months, shows that we are at the sharp end of M&A activity in the sector. The heating, ventilation and air conditioning sector continues to attract significant interest from domestic and overseas investors, and these transactions demonstrate the strength of our experience in the space.”
Andrew Moxham, Director of The James Mercer Group Limited, said: "We were extremely pleased with the service provided throughout the sale of our business. From the outset, Peter, Alex and the team at Browne Jacobson were highly proactive, anticipating issues and keeping the process moving efficiently at every stage.
"They were consistently supportive and responsive, taking the time to explain complex matters clearly and ensuring we felt informed and confident when key decisions needed to be made. Their guidance was invaluable, particularly during negotiations, where their practical advice and calm approach helped us navigate what could otherwise have been a stressful process.
"We appreciated their commitment, professionalism, and clear communication throughout the transaction. Their support played a significant role in achieving a successful outcome, and we would not hesitate to recommend them to anyone considering the sale of their business."
Recent deals undertaken by the team include advising on the sale of Jordon Refrigeration to Sun Capital backed Bellrock, advising on the sale of MC Refrigeration to Nordic Climate Group, helping their business enter the UK market for the first time, advising Broadfield Capital on it’s buyout of Emtec Climate Solutions and the subsequent bolt-on of Northwest Heating Services and advising Pioneer Group on its sale to TRISON.
