Browne Jacobson advises Phenna Group on its acquisition of NLG Ecology

03 May 2024

UK and Ireland law firm Browne Jacobson’s award-winning corporate team has successfully advised Phenna Group on its acquisition of ecological consultancy specialist NLG Ecology.

Nottingham-headquartered Phenna Group is a leading global provider of testing, inspection, certification and compliance (TICC) services and invests in and partners with selected niche, independent TICC companies that serve a variety of sectors, ensuring customers' peace of mind by delivering first class testing and assurance services.

The acquisition of NLG Ecology is Phenna Group’s 3rd acquisition in the ecological sector, joining Ecology Solutions and RammSanderson, both of which will work closely with the NLG team. The deal is also Phenna Group’s 4th of 2024, augmenting its UK market-leading infrastructure platform.

NLG Ecology was founded in Cheshire in 2018 and offers a range of quality ecological survey services that can be incorporated into client plans, including Preliminary Ecological Assessments, Protected and Notable Species Survey, Ecological Impact Assessment and Protected Species Licence Applications.

The Browne Jacobson team advising Phenna Group on the deal was led by partner Matt Bolton and associate Jack Milnthorpe, supported by senior associates Maz Dannourah and Christian Burchardt and trainee solicitor Abigail Stokes, whilst a multi-disciplinary team carried out legal due diligence for Phenna Group.

Matt Bolton, partner at Browne Jacobson, commented:

“We’re proud to have supported Phenna Group on its strategic acquisition of NLG Ecology, its 3rd acquisition in the ecological sector and 4th of 2024. This deal further enhances the Group’s strong testing, inspection, certification and compliance offering in the ecological sector.”

Tom Gray, Group General Counsel at Phenna Group, commented:

“I’d like to thank the corporate team at Browne Jacobson led by Matt Bolton and Jack Milnthorpe for their professional support and assistance with this acquisition for the Phenna Group. A commercial focus and approach is essential for us and the team delivered to our expectations.”

Paul Barry, Chairman of Phenna Group, added:

“I am delighted that Neil and his team have decided to join Phenna Group and warmly welcome them to our team. In Ecology Solutions and Ramm Sanderson we already have a strong presence in the sector, adding the capabilities of NLG Ecology is highly complementary and boosts our offerings, extends our geographic presences and augments our Infrastructure platform. I look forward to working with Neil, Oli and their teams to deliver their ambitious growth plans.”
