a day in the life: Corporate

I began my trainee life in the Birmingham Corporate team and within 48 hours I was dressed in a full dinner suit on my way to the Insider Dealmakers Awards at the Hilton in Birmingham. Browne Jacobson was nominated for the ‘best legal firm’ award and despite my minimal contribution I would have been delighted to step onto the stage to accept the award on the firm’s behalf. Sadly this moment was stolen from me as we were narrowly beaten to a glorious win. 

However, life is not all beer and skittles and from there the hard work began. In a nutshell, the Corporate team advises on the buying and selling of businesses and private equity investments. One of my first tasks was to prepare profiles for various target companies that prospective clients were potentially looking to acquire. This involved researching corporate structure and other key details about the company, such as employee details (anonymised of course!) and financial information from recent years.

I have also assisted on a number of other deals. Acting for the buyer, I have produced a due diligence report for our client covering a number of key areas about the target business. Due diligence is a key step in an acquisition because during the initial negotiation on the terms of the proposed acquisition, the buyer may not have any detailed knowledge of the target and will often be relying in these early stages on information received from the seller.

Possibly the highlight of my initial period in the department was the Corporate team away day in Manchester, based at our incredible new office space in Spinningfields. It, of course, rained from start to finish but that did not prevent us enjoying a panoramic view of Manchester from the 14th floor (including Coronation Street for any Ken Barlow super-fans out there.) We discussed the exciting opportunities the firm has to build its ever-growing presence in the Manchester legal market and also enjoyed a presentation from Ryan Harrison and Mark Daniels in the Commercial team on the potential for increased cross-department working. The day ended with a trip to Manchester’s Crystal Maze where our team displayed incredible spirit and camaraderie to finish 3rd out of 4.

After a very enjoyable first two weeks, I look forward to what the rest of my seat will bring!
