Browne Jacobson advises on £52m sale of Manthorpe Building Products Holdings Ltd to Polypipe Group

Browne Jacobson has advised the shareholders on the sale of Manthorpe Building Products Holdings Limited to Polypipe Group plc for £52m on a cash-free, debt-free basis.

The deal will see the transfer of the entire issued share capital of Manthorpe to Polypipe as well as a number of associated freehold land and building assets.

The acquisition is consistent with Polypipe’s growth strategy of broadening its market reach in high growth products, in particular the water and climate management sectors.

Corporate finance partner Gavin Cummings led the Browne Jacobson team which also comprised Ryan Brown and Sian Harrison (corporate finance) and Robert Wofinden and Georgina Euden (property).

Founded in 1986, Derbyshire’s Manthorpe Building Products Limited designs and manufactures moulded and extruded plastic and metal products for the UK and Irish residential and repair, maintenance and improvements markets. It currently has around 100 employees at its site in Ripley.

Doncaster based, FTSE 250 Polypipe Group is a market leading manufacturer of plastic piping products and ventilation systems for the residential, commercial, civils and infrastructure sectors globally.
